Private equity firm completes CDI acquisition

AE Industrial Partners LLC — a private equity investor specializing in aerospace, power generation, and specialty industrial companies — completed its acquisition of CDI Corp. (NYSE: CDI), a Philadelphia-based provider of IT and engineering staffing.

The deal was first announced in July and called for AEI to acquire all of the outstanding shares of CDI’s common stock for $8.25 per share in an all-cash tender offer and follow-on merger. With approximately 19.09 million outstanding shares, the deal was valued at $157.5 million.

The deal is expected to be completed today; CDI will become a privately-held, indirect wholly-owned subsidiary of an affiliate of AEI and CDI’s common stock will cease trading on the New York Stock Exchange.

More than 15.5 million shares of common stock of CDI — excluding 321,104 shares tendered by guaranteed delivery — representing approximately 78% of the common stock outstanding on a fully-diluted basis, were tendered into and not withdrawn from the tender offer. Per the agreement, Nova Merger Sub Inc., an affiliate of AEI, was automatically deemed to exercise its “top-up” option to purchase shares of common stock directly from CDI in an amount sufficient to enable AEI to effect a “short-form” merger under applicable Pennsylvania law.

CDI ranks fifth on Staffing Industry Analysts’ 2017 list of largest engineering staffing firms in the US and No. 19 on its list of largest IT staffing firms in the US.
