The European Commission approved, under the EU Merger Regulation, the acquisition of the European Staffing Business of Kelly Services by Italian staffing firm GI Group Holding S.p.A.

The acquisition was first announced in November 2023 for a cash consideration of up to €130 million. The transaction is expected to close in the first quarter of 2024. 

Under the terms of the agreement, Kelly will transition its European staffing business within its international operating segment to Gi Group Holding, providing staffing services to customers in 14 countries.

The Commission concluded that the notified transaction would not raise competition concerns, given the companies' limited combined market position resulting from the proposed transaction. The notified transaction was examined under the simplified merger review procedure.

Gi Group ranks as the 19^th largest staffing firm in the world in terms of revenue, while Kelly Services ranks as the 12^th largest staffing firm globally.
