Hudson sells Americas IT staffing business and Dutch operations

May 11, 2015

Hudson Global Inc. (NASD: HSON), a New York-based staffing provider, will sell its Americas IT staffing business to Mastech Holdings Inc. (NYSE MKT: MHH) and, separately, announced it sold its Netherlands business to InterBalance Group B.V.

Terms for the sale of the Americas IT staffing business agreement include a $17 million cash purchase price payable at closing with Hudson retaining the working capital of the Americas IT staffing business. The acquisition is expected to close in the second quarter of 2015, subject to customary closing conditions. Mastech plans to maintain all sales and recruiting staff.

Separately, Hudson announced it completed the sale of Netherlands business to InterBalance Group B.V. as part of a local management buyout of the business for €8.1 million in cash, subject to a customary post-closing working capital adjustment.

“We are pleased to announce the agreements to sell our Netherlands business and Americas IT staffing business,” said Hudson Chairman and CEO Manolo Marquez. “We look forward to completing the IT transaction and successfully transitioning these businesses to InterBalance and Mastech.”

The sales are aimed at Hudson’s strategy to focus on its core business. Hudson reported revenue fell 13.8% in the first quarter to $124.3 million.

“I’m extremely excited about this opportunity, which will materially increase our scale and enhance our abilities to service our collective clients,” said Mastech CEO Kevin Horner. “As I have mentioned on numerous occasions, a selective acquisition is an important component of our long-term growth strategy. With its impressive list of direct retail clients, domestic recruitment focus and adept management talent, Hudson’s US IT Staffing business is a compelling fit for Mastech, and I believe it will serve to strengthen our overall business model."

Mastech today reported first-quarter revenue fell 5.7% year over year to $27.1 million, while Hudson reported revenue fell 13.8% in the first quarter to $124.3 million.

Both Hudson and Mastech rank on Staffing Industry Analysts’ list of largest US staffing firms.
