Corporate Resource Services sells subsidiary, sends termination notices

Corporate Resources Services sold a subsidiary, and separately announced it sent termination notices to approximately 800 customers primarily in California.

The New York-based staffing company is being led by a chief restructuring officer to oversee a possible sale of the firm after the PEO it works with filed for bankruptcy protection.

Noor Staffing Group LLC announced today it struck a deal to purchase all assets of Corporate Resource Services’ Corporate Resource Development Inc. subsidiary.

Corporate Resource Development is comprised of niche staffing divisions targeting IT, graphic design, clerical, legal, financial/accounting and other specialty divisions. It also provides recruiting services for financial, investment banking, and legal sectors.

The transaction closed yesterday; terms have not yet been disclosed. Corporate Resource Development will transition to Noor Staffing Group brand, and its executives will remain with the firm.

Habib Noor is the sole owner of SearchPoint, Noor Staffing Group, Ideal Talent Solutions and GHG group of companies. The combined firms’ clients include federal and state agencies and operate in 26 states.

“Our goal is to keep the company intact and maintain the same level of operation and infrastructure,” Noor said. “CRD was their white collar staffing group; I acquired that piece of the whole CRS company."

New York City-based Corporate Resource Development is the only portion of Corporate Resource Services that does not serve the light industrial sector, according to Noor, and comprises 8% to 10% of Corporate Resource Services entire business.

“As a veteran of the staffing industry, we are bringing both financial and operational order to this stressed company; we are positioned to do so due to our financial diligence, stability and also our experience,” Noor said. “We are implementing a plan to ensure the continuity of business operations and payroll for all internal and contingent employees. We will continue to support and serve all of CRD’s current clients without interruptions while working diligently to secure their continued trust.”

Corporate Resource Service operated several other subsidiaries.

Separately, in a new filing with the US Securities and Exchange Commission on Thursday, the company reported it sent out termination notices to customers primarily in California, and is closing or consolidating related offices. The notices were sent to approximately 800 customers representing approximately $400 million of gross revenue for the year ended Jan. 2, 2015.

Corporate Resource Services had ranked as the 22nd largest US staffing and talent engagement firm based on 2013 revenue.
