Premier Health of America Inc. (TSXV: PHA) completed its acquisition of Solutions Staffing Inc., a Vancouver, British Columbia-based healthcare staffing firm providing nurses and allied healthcare professionals.

“We are very excited with the opportunity to continue growing Solutions Staffing’s travel nurse operations with its experienced management team,” Martin Legault, CEO of Premier Health of America, said in a press statement. “The acquisition of SSI will result in Premier Health becoming a national service provider with activities across Canada, an important milestone for our company.”

Total minimum consideration for the transaction is C$21 million (US$15.2 million) in cash plus net working capital and tax adjustments of C$1.8 million (US$1.3 million) paid at closing. In addition, another C$6 million (US$4.4 million) is payable over the next two years based on EBITDA performance. An amount of C$1.2 million (US$870,138) is also payable based on the actual collections of certain receivables.  

The deal was first announced on July 4.

Founded in 2001, Solutions Staffing offers short- and long-term healthcare assignments, ranging from one to 52 weeks, across the British Columbia, Alberta, Saskatchewan, Northwest Territories, Nunavut and Yukon provinces. It posted revenue of C$74.0 million, (US$54.8 million) in its fiscal year ended Sept. 30.
