Legal services firms Consilio and XDD to combine in private equity deal; staffing acquisition also in mix

Consilio and Xact Data Discovery, two companies that provide services to law firms including legal staffing, are being sold in a deal that will see them combined.

Funds managed by private equity firm Stone Point Capital LLC is acquiring Consilio from private equity firm GI Capital with the deal to close in May, according to an announcement today by GI Capital. In turn, private equity firm Aquiline Capital Partners LLC struck a deal to acquire Xact Data Discovery, or XDD. Stone Point and Aquiline intend to combine the Consilio and XDD businesses.

Separately, XDD also announced today that it acquired Lexolution, a legal staffing and managed review services company based in New York.

“We are thrilled with the outcome of our investment in Consilio,” said Hoon Cho, managing director and co-head of private equity at GI Partners. “Our thesis was based on our conviction that Consilio’s combination with Advanced Discovery would create a differentiated market leader that would enhance customer success for its clients and create a formidable M&A platform to accelerate growth.”

Consilio provides eDiscovery, document review, risk management and legal consulting services for law firms. Its services include legal recruiting as well.

XDD is a Mission, Kansas-headquartered company that also provides eDiscovery, data management and managed review services for law firms.

“This is a significant step for Consilio and XDD to bring together our respective strengths to deliver a more complete experience to the whole spectrum of client needs,” said Consilio CEO Andy Macdonald, who will continue as CEO of the combined company.

The combined company will operate under the Consilio brand.

“We have complementary global operations, a strong cultural fit, and a similar legacy of successful acquisitions and integrations,” said Bob Polus, founder and CEO of XDD, who will serve as corporate development officer of the combined company. “Both organizations have diverse strengths and fared well throughout the pandemic, leaving room for enhanced growth as a combined organization.”

In the separate deal with XDD acquiring legal staffing firm Lexolution, XDD reported the buy will expand its footprint in key markets.

“For 20 years, clients have relied on Lexolution to provide a high level of dedication, commitment and service excellence,” said Scott Krowitz, principal at Lexolution. “We can now expand our list of offerings under the XDD umbrella while making that same commitment to our clients in a demanding legal environment.”
