Premier Health of America Inc., a Blainville, Quebec-based healthcare staffing provider, struck a deal to acquire Solutions Staffing Inc., a Vancouver, British Columbia-based healthcare staffing firm that provides nurses and allied healthcare professionals. The deal will make Premier a national service provider in Canada.

Total consideration for the transaction is C$21 million (US$15.9 million) in cash plus net working capital and tax adjustments. In addition, another C$4 million (US$3.0 million) is payable over the next two years based on EBITDA performance. The deal is expected to close in 45 days.

“We are very excited with the opportunity to continue growing Solutions Staffing’s travel nurse operations with its experienced management team,” Premier Health CEO Martin Legault said. “The acquisition of Solutions Staffing will result in Premier Health becoming a national service provider with activities across Canada, an important milestone for our company.”

SSI posted revenue of C$74.0 million (US$54.0 million) in its fiscal year ending Sept. 30. It operates in British Columbia, Alberta, Saskatchewan, Northwest Territories, Nunavut and Yukon.
