Infosys conducting internal investigation after whistleblower complaints

October 22, 2019

IT services giant Infosys Ltd. (NYSE: INFY) has received anonymous whistleblower complaints about unethical practices, some relating the CEO’s travel, Company Secretary A.G.S. Manikantha said in a letter filed with the US Securities and Exchange Commission.

“These [anonymous whistleblower complaints] have been placed before the audit committee as per the company’s practice and will be dealt with in accordance with the company’s whistleblower policy which can be found at https://www.infosys.com/investors/corporate-governance/Documents/whistleblower-policy.pdf,” according to the letter.

In another statement by the company, it said one board member received two anonymous complaints on Sept. 30. One was dated Sept. 20 and the other was undated.

“These complaints are being dealt with in an objective manner,” according to the statement. “The undated whistleblower complaint largely deals with allegations relating to the CEO’s international travel to the US and Mumbai.”

It also noted that a letter dated Oct. 3, 2019, was purportedly written to the Office of Whistleblower Protection program in Washington regarding the Sept. 20 complaint.

Infosys’ CEO and CFO have been recused from this matter and the company has retained the law firm of Shardul Amarchand Mangaldas to conduct an investigation.
