Heidrick & Struggles completes DSI acquisition; appoints board member

Executive search firm Heidrick & Struggles International Inc. (NASD: HSII) completed its acquisition of Philadelphia-based strategy and leadership advisory firm Decision Strategies International Inc. on Feb. 29, according to a filing with the US Securities and Exchange Commission. The company announced the deal in February.

Heidrick & Struggles paid the sellers $9.2 million at closing, financed with cash, subject to certain adjustments. Heidrick will pay additional future cash consideration based on fee revenue generated from the business during 2017 and 2018, currently estimated at approximately $2.8 million.

The company also announced it has appointed Clare M. Chapman as an independent member of its board, effective Feb. 23, according to the filing. Chapman will also serve on the human resources and compensation committee and the nominating and governance committee. She will stand for election at the company’s 2016 annual meeting.

From 2011 to 2015, Chapman served as group people director of BT Group, a communications services companies based in the UK that operates in 170 countries worldwide. Prior to this role, she was director general of workforce for the National Health Service and Social Care system, where her responsibilities affected more than 2.2 million healthcare employees in England. Previously, she was human resources director for Tesco PLC and VP of human resources for PepsiCo’s operations in continental Europe.

Chapman also serves on the Board of Kingfisher PLC.
