Randstad, the world’s largest staffing firm, announced yesterday that following the passing of founder Frits Goldschmeding, Stichting Stad en Lant (translated from Dutch as City and Country Foundation) yesterday acquired control over Randstad Beheer B.V., which has more than a 30% stake in Randstad.
Stichting Stad en Lant now has the right to (indirectly) exercise more than 30% of the voting rights without triggering a mandatory public offer.
According to Quote magazine, Stad en Lant directors are Goldschmeding’s widow, Petra de Vos, and Dutch businessman Jan Hovers, who had been a friend of Goldschmeding since the 1980s.
The staffing firm said supporting governance and boards of directors within this structure (Stichting Stad en Lant) has been active for many years and, as such, is fully prepared for the period post Frits Goldschmeding’s involvement.
Randstad added that Frits Goldschmeding “has created a future-proof structure for his shareholding in Randstad that does not depend on the life and involvement of individuals and that will continue beyond his life.”
