NGS Group AB (NGS: STO), a provider of healthcare and education staffing, signed an agreement regarding the transfer of the staffing business Vikariepoolen to Tellusgruppen (Tellus Group) with entry on 1 January 2025.
The purchase price amounts to SEK 3.05 million (€263,516) and consists of newly issued shares in Tellus Group to a value of SEK 2.8 million (€241,917) and SEK 0.25 million (€21,599) in cash. A smaller additional purchase price may also be paid in the form of cash at the beginning of 2026. The possible additional purchase price depends on the financial outcome of Vikariepoolen during 2025.
Vikariepoolen’s main customer base consists of public clients won through tenders. The business currently has a turnover of SEK 20 million (€1.7 million).
The Tellus group had a turnover of SEK 427 million (€36.9 million) in 2023.
Tellus Group CEO Bijan Fahimi said in a press release, “Vikariepoolen is a well-reputed business that we are happy to welcome to the Tellus group. Our vision is to become the education sector’s first choice for specialist training services, mother tongue teaching and staffing. By leveraging our strong position in mother tongue teaching and broadening our offer, we are strengthening our market presence and growth potential.”
NGS Group CEO Jan Bengtsson added, “As a step in increasing our focus on a smaller number of business areas, a divestment of Vikariepoolen is logical for us. Being part of the Tellus group is ideal for our staff and our customers within the temporary agency pool. We have been very keen that all parties and above all the staff should feel satisfied with the company we are selling the business to. The Tellus Group is a long-term player in the school sector with a warm and good corporate culture, which makes us feel convinced that Vikariepoolen’s staff and customers will enjoy their new home.”
