Versar Inc. (NYSE MKT: VSR) acquired J.M. Waller Associates Inc., a Fairfax, Va.-based firm that provides environmental, facilities, professional staffing and logistics consulting services.

Versar, headquartered in Springfield, Va., targets government and commercial clients in the construction management, environmental services, munitions response and professional services market areas. Staffing services accounted for approximately 11 percent of Versar’s revenues for the nine-month period prior to acquisition.

The transaction closed June 30; the acquisition price of $13 million will be satisfied with cash and a seller note. J.M. Waller is expected to be accretive to earnings in year one and adds contracted backlog of more than $25 million.

J.M. Waller Associates will conduct business as Versar Waller for a period of time but will ultimately transition to Versar. All three shareholders of Waller will remain at Waller in some capacity going forward.
