Fortune reported its audit committee no longer had two independent directors as required because one of the directors resigned.

The company has until the earlier of either its next annual shareholder meeting or one year from the resignation of the director to correct the situation. The company said it is interviewing potential new directors and should have one appointed within the timeframe.
